BY-LAWS

ARTICLE I
ORGANIZATION NAME

Section 1.
The name of this organization shall be Northern Colorado Coaches Alliance, otherwise known as the Back Porch Gang. 

 

ARTICLE II
ORGANIZATION GOALS

Section 1.
To provide a network for members to support each other and to share professional knowledge and best practices.

Section 2.
To increase the skills and effectiveness of its members through educational programs.

Section 3.
To raise the awareness of the wider community about the coaching profession and to create opportunities for coaches to contribute to the community.

Section 4.
To provide a forum wherein the members can discuss issues of professional
concern.

Section 5.

To be an effective two-way communication channel between local members, leadership of the ICF and other coaching industry professional bodies, and other chapters. 

Section 6.

To help shape the coaching profession and to provide a mechanism for a local voice in coaching industry issues.


ARTICLE III
LEGAL STATUS

Section 1.
Legal Purpose

Notwithstanding any other provision of these articles, the purposes for which the organization is established are exclusively religious, charitable, scientific, literary, and educational within the meaning of Section 501 (c) (6) of the Internal Revenue Code of 1954 or the corresponding provisions of any future United States Revenue laws.

Section 2.
Excluded Activities

Notwithstanding any other provision of these articles, this organization shall not carry on any activities not permitted to an organization exempt from Federal Income Tax under Section 501 (c)(6) of the Internal Revenue Code of a954 or the corresponding provisions of any future United States revenue laws.

Section 3.
Dissolution

In the event of its dissolution, the residual assets of the organization will be turned over to the International Coach Federation, which are themselves exempt as described in sections 501 (c)(6) and 170 (c)(2) of the Internal Revenue Code of 1954 or corresponding sections of any prior or future IRS codes, or to the Federal, State, or local government for exclusive public use.


ARTICLE IV
DUTIES OF THE ORGANIZATION OFFICERS

Section 1.
President

The President shall preside at all meetings of the Organization.  The President shall sign any instruments or documents that may lawfully be executed on behalf of the membership.

Section 2.
Vice President

In case of the absence or disability of the President, or at his/her request, the Vice President shall perform all of the duties of the President.  The Vice President shall perform such duties and have such authority as from time to time may be assigned by the President.


Section 3.
Secretary

The Secretary shall maintain official minutes and records of the proceedings of the Organization.  The Secretary shall arrange for mailings of official correspondence.  The Secretary shall maintain an up-to-date membership list and is responsible for keeping attendance at meetings.  The Secretary shall also perform other duties and have such authority as shall from time to time be assigned by the President.

The Secretary shall maintain a binder of the Proceedings of the Northern Colorado Coaches Alliance, and have the binder present at all meetings of the Organization.  The binder shall include meeting agendas, minutes, policies, procedures, decisions, guidelines, Financial Reports and other proceedings of the Organization.  The Secretary will prepare an annual Activities Report to be sent to the ICF.
 

Section 4.
Treasurer

The Treasurer shall perform the organization’s official financial transactions and keep accurate books of the organization’s accounts.  The Treasurer will prepare an annual Financial Report to be sent to the ICF.

Section 5.
Terms and Vacancies

Terms for all of the above Organization's officers will be for one year.

Any vacancy of an office shall be filled by Presidential appointment.  The appointment so approved will pertain until the following election, when the normal election process will fill the seat.

Section 6.
Delegation of Officers’ Duties

The President may delegate any officer’s duties to any other member when they deem such action to be appropriate.

Section 7.
Reimbursement of President's ICF Membership fee

In recognition of the importance of the NCCA's link to the ICF, and the significant amount of leadership involved in the role of President, the NCCA will reimburse the President's yearly ICF membership fee beginning in May 2005.

Section 8.
ICF Membership Requirement

The persons fulfilling the NCCA roles of President, Vice President, Secretary and Treasurer must be ICF members in good standing. This requirement does not extend to other NCCA leadership roles.


ARTICLE V
ORGANIZATION MEMBERSHIP

Section 1.
Qualification

In order to qualify as a member of the organization, an individual must (1) practice an identifiable form of coaching as part of his/her professional practice or occupation, or be enrolled as a student in a coach training organization.

Section 2.
Guests

Guest members may attend up to six monthly meetings of the organization without meeting the requirements of a qualified member.

 


ARTICLE VI
AMENDMENTS TO THESE GUIDELINES

Section 1.
Adoption of By-Laws

Initial adoption of these By-Laws shall be accomplished by a vote of acceptance by two-thirds of the qualified membership. 

Section 2.
Recommendation for Amendment

These By-Laws may be amended when recommended by a committee appointed by the President, or upon a written request from at least ten per cent of the qualified members of the organization. 

Section 3.
Amendment Approval

The amended By-Laws shall be adopted by a vote of acceptance by two-thirds of the qualified membership.

The President shall see that the amended By-Laws are so amended and sent to the ICF.  The Secretary will maintain a set of all By-Laws, past and current.
